What a Form D is
A short notice a company files with the SEC after it sells securities without registering them, in an offering under Rule 504 or 506 of Regulation D or Section 4(a)(5) of the Securities Act. It is due within 15 days after the first sale. It names the company, its address and phone, its officers and directors, the offering size and the amount sold so far.

Why an EDGAR search is noisy
The EDGAR daily index listed 5,034 Form D filings between Oct 13 and Nov 6, 2026, each accession number counted once: 3,220 new notices and 1,814 amendments. 3,254 were investment funds. 392 were new filings from operating companies we could place in one metro, with no finance title listed; another 66 updated an earlier Form D.
In Houston, 12 new filings from operating companies were left after our removals, between Oct 13 and Nov 6, 2026.

What we remove
We read each filing, the company's earlier Form Ds and its SEC company record (where the data comes from). A filing goes if any rule matches.
- Investment funds 3,254 The filing's industry group is Pooled Investment Fund.
- SPVs, partnerships, trusts and other deal vehicles 332 Section 3(c) funds, LPs and trusts, numbered series names, issuers run by a manager LLC, mineral and tenant-in-common programs.
- Real-estate, banking, insurance and investing deals 560 By the industry group the company checked on the filing.
- A finance title on this or an earlier Form D 172 CFO, treasurer, controller, finance or accounting in any person's title, on any Form D the company has filed.
- Public companies 12 A ticker or periodic reports (10-K, 10-Q, 8-K) in the company's SEC record.
- Serial filers and refilings with nothing sold 39 Ten or more original Form Ds from one company, or a new Form D with nothing sold after an earlier one with nothing sold.
- Held back: no single US metro, or the filing contradicts itself 111 An address outside the US or every metro, a ZIP split between metros, a registered agent's or shared office address, or sales figures that contradict each other.
- Other checks 9 The filing says the amount sold was not a cash raise (an internal reorganisation, for example); the filing says it is void or was filed in error; the same acquisition is already listed through another filing or SBA loan at that address; a sister company at the same address with the same people is already listed; the SEC revoked the company's registration.

What "total amount sold" means
Item 13 of Form D asks for the amount sold in the offering as of the filing date. It is a running total since the first sale, and the first sale can be months before the filing. We print it as "sold so far", never as money raised this week.
In the Houston list for Oct 13–Nov 6, 2026, 1 of 12 filings reports a first sale more than 90 days before it was filed: Hertha Metals, Inc. (SEC filing, opens in a new tab) In 1 filing, the amount sold includes conversions or non-cash consideration. The sentence quotes the filing's own note next to the number, and we rank it below the plain cash sales.

Questions
Is Form D public?
Yes. Every Form D is published on SEC EDGAR, and the SEC's website policy (sec.gov/about/privacy-information) says information on sec.gov "is considered public information and may be copied or further distributed" without its permission. We give no email addresses; how you contact a company is up to you and the law (for email, CAN-SPAM).
How do I search Form D filings on EDGAR?
In EDGAR full-text search (sec.gov/edgar/search), set the form type to D. It narrows by state, not by metro, and lists investment funds next to operating companies. The full Form D database is the SEC's quarterly Form D data sets. We read every EDGAR daily index for new filings and the data sets for each company's earlier Form Ds.
What does "total amount sold" mean on a Form D?
Item 13 of Form D asks for the amount sold in the offering as of the filing date. It is a running total since the first sale, which can be months earlier; the notice is due within 15 days after the first sale. We print it as "sold so far" ("sold in total" on an amendment), not as money raised this week.
"Lists no finance title": does that mean the company has no CFO?
No. Form D roles are checkboxes and titles are optional. What we can say is narrower: no finance title appears on this filing or on any earlier Form D from the same company; otherwise we drop it. In the Houston list for Oct 13–Nov 6, 2026, 9 of 12 filings give no written title for any related person, only the role checkboxes (Executive Officer, Director, Promoter). We also read the signer's title; on all 12, none is a finance title.
How fresh is the list?
We read every EDGAR daily index. The newest one in this build is Nov 6, 2026. Each weekly list covers Nov 2–6, 2026; the 4-week list covers Oct 13–Nov 6, 2026.
Why isn't a company I know about on the list?
We drop funds, SPVs, real-estate and finance deals, LPs, public companies, and companies whose Form Ds name a finance officer, now or in an earlier filing. Addresses we cannot place in one metro, such as a registered agent's office, are held back. And a company that filed no Form D is not on it.
